A foreigner cannot hold Hak Milik directly, so the recognised route is HGB held through a PT PMA. That work is already done here: the certificate sits inside a single-asset company with no other land, no other assets and no liabilities, and the company is for sale with the land.

Freehold/HGB, and what it means here

Every agency on this coast lists land as Freehold. I write Freehold/HGB, because that is precisely what it is: freehold to an Indonesian buyer, HGB to a foreign one, and convertible between the two. What it means for a foreigner is HGB, Hak Guna Bangunan, the registered right to build on and use the land, held through an Indonesian PMA company: the highest title a foreigner can hold. Indonesian freehold itself, Hak Milik, is reserved for Indonesian nationals. On this land the conversion is already done. The title is registered HGB, the company that holds it exists and is in order, and both are for sale together, so nothing about that step is left for you to arrange.

The term is 30 + 20 + 30 years, renewed in place rather than renegotiated, and at the end of that cycle PP 18/2021 provides for a fresh grant on the same land, so the title is held and valued as land and not as a lease counting down: the value stays with the holder, and whatever the market does between now and a sale accrues to you rather than draining away with a shortening term. At resale the title moves the way any registered Indonesian title moves. Sell the shares and the buyer takes the company as it stands, with the title, licences and zoning intact. Or sell the land itself: an HGB certificate transfers to another Indonesian company, foreign owned or local, by deed before a PPAT and re-registration at the land office. An Indonesian buyer can also apply to convert it to Hak Milik, though above 600 m² that is an assessment at the land office rather than the counter formality it is for a small house plot.

A share transfer does not trigger the land transfer taxes and carries its own treatment: no BPHTB, no new deed and no re-permitting. The exact rate and basis for your structure are confirmed before anything is signed.
